You are responsible for all activities that occur under your account.

To the maximum extent permitted by law, FAI Innovations LLC and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, even if advised of the possibility of such damages.

Our total liability for any claim related to the Services shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless FAI Innovations LLC and its affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your violation of these Terms or your misuse of the Services.

12. Termination

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.
